1. Acceptance of Terms

The Service is operated by GT Souvenir LLC, a Connecticut limited liability company doing business as ProDesigner (“we”, “us”, “our”).

By accessing or using ProDesigner ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not accept these Terms in full, you must not use the Service.

These Terms apply to all users, regardless of geographic location. Use of this Service constitutes a legally binding agreement under applicable local, national, and international laws.

2. Use of the Service

ProDesigner is a free, web-based design tool suite provided for personal or professional use without any service-level guarantees. You may not use the Service for any unlawful purposes or in violation of any applicable laws.

3. License Grant and Restrictions

ProDesigner grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or professional purposes only. This license does NOT include any right to:

• • Copy, modify, or create derivative works of the Service
• • Sell, rent, lease, sublicense, or transfer the Service to third parties
• • Remove or alter any proprietary notices or labels
• • Use the Service to create competing products or services
• • Circumvent, disable, or interfere with any security features or technical protection measures

4. How ProDesigner Is Funded, and Commercial Use Prohibition

The tools are provided free of charge, funded by voluntary contributions from users and by optional paid storage plans. Paid plans are available today and are described in section 12 below. The tools themselves are intended to remain accessible to all users at no cost.

Contributions are not charitable donations. GT Souvenir LLC dba ProDesigner is a for-profit Connecticut limited liability company, not a tax-exempt charitable organization. Voluntary contributions support ongoing development, purchase nothing, and are not tax-deductible.

Users are expressly PROHIBITED from:

• • Charging others for access to the Service
• • Bundling the Service with paid products or services
• • Creating paid derivatives or "premium" versions
• • Representing themselves as authorized resellers or distributors
• • Marketing or selling tools, services, or products based on or derived from this Service

Any such commercial exploitation violates these Terms and applicable copyright law, regardless of whether source code is publicly accessible or modifications have been made.

5. No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• • FITNESS FOR A PARTICULAR PURPOSE
• • NON-INFRINGEMENT
• • ACCURACY, AVAILABILITY, OR RELIABILITY

We do not guarantee that the Service will be uninterrupted, secure, or error-free. All risk arising out of use remains solely with the user.

6. Limitation of Liability

To the maximum extent permitted by applicable law (including U.S. federal and state law and international jurisdictions), GT Souvenir LLC dba ProDesigner, its owner(s), affiliates, contractors, or licensors shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, including but not limited to:

• • Loss of data or profits
• • Device or software failure
• • Business interruption
• • Service unavailability
• • Errors in output
• • Legal disputes arising from third-party use

This limitation applies regardless of the theory of liability, whether in contract, tort, strict liability, or otherwise—even if we were advised of the possibility of such damages.

7. Availability & Support

The Service may be modified, suspended, or terminated at any time without notice. No guarantees are made regarding uptime, feature continuity, or technical support. We reserve the right to limit access to any part of the Service, for any reason, without liability.

Ownership: Unless otherwise stated, all content, code, algorithms, design elements, and UI/UX elements within ProDesigner are the exclusive property of GT Souvenir LLC, except for the third-party open-source components identified on our licenses page. ProDesigner™, the ProDesigner logo, and associated marks are common law trademarks of GT Souvenir LLC, in continuous use in commerce since December 2025. No federal trademark registration is claimed at this time.

Protection Scope: The software code, algorithms, interface design, visual elements, and the unique combination and configuration of components are protected by U.S. and international copyright laws.

Prohibition on Replication: You may not replicate, reverse-engineer, decompile, disassemble, or distribute any part of the Service for commercial purposes without express written permission.

Source Code: The availability of source code for viewing, inspection, or educational purposes does not constitute a license to copy, modify, redistribute, or create derivative works. ProDesigner’s own source code is proprietary and protected by copyright; third-party components are governed by their own licenses.

Open Source Components: The Service incorporates third-party open-source software, each component governed by its own license. Those components are identified on our licenses page and are not claimed as proprietary. Our proprietary claim extends to ProDesigner’s original code, interface design, visual identity, branding, and the particular combination and configuration of components — which may not be replicated or commercialised.

9. Enforcement and Remedies

Any unauthorized copying, distribution, modification, or commercial exploitation of the Service's code, algorithms, design elements, or other proprietary components constitutes copyright infringement and breach of these Terms.

We reserve the right to:

• • Immediately terminate access for violators
• • Pursue legal remedies including injunctive relief and monetary damages
• • Monitor for unauthorized use, copies, forks, and commercial exploitation through technical and legal means
• • Require violators to disgorge all profits obtained through misuse
• • File DMCA takedown notices and equivalent international procedures for infringing content

Permission Requests: Written permission requests for commercial use, distribution, or modification must be submitted to us here. Unauthorized use without obtaining written permission will result in immediate account termination and may subject violators to legal action.

10. User Content

If the Service allows uploading or generation of content:

• • You retain ownership of your content
• • You are solely responsible for ensuring your content complies with all laws and does not infringe on third-party rights

11. Accounts and Stored Content

Accounts are optional; every tool works fully without one. If you create an account and save projects to it, you keep full ownership of what you save. You grant us only the limited license needed to store your content and serve it back to you — nothing more.

You are responsible for the content you upload, and you agree not to store unlawful content. We may remove content that violates the law, but we will never hold your work hostage: export remains available regardless of account standing.

Cloud save is provided without service-level guarantees, as set out in sections 5 and 7 above. We take care with your data, but no online service is a substitute for your own copies — keep local exports of anything precious.

12. Storage, Quotas and Paid Plans

Free and paid tiers have storage caps. Over the cap, saving pauses but nothing is deleted and everything remains downloadable.

Paid plans add storage on a monthly or annual subscription: cancel any time in one click, effective at the end of the paid period. Subscriptions renew automatically at the end of each period until canceled. On downgrade or non-payment nothing is deleted — content over the new cap becomes read-only and remains fully exportable. Price changes reach existing subscribers with at least 30 days' notice.

Refunds. If a paid plan is not for you, email us within 14 days of a payment and we will refund it in full, no questions asked. This sits on top of any statutory right of withdrawal or cancellation you have where you live, and nothing in these Terms limits that right.

Payments are processed by Stripe, Inc. Your card details go to Stripe and are never received or stored by us. Prices are shown excluding sales tax or VAT, which is calculated and added at checkout where it applies.

We will give at least 90 days' notice before discontinuing the service or a tier, with export available throughout.

13. Jurisdiction and Governing Law

This agreement shall be governed by and construed in accordance with:

• • The laws of the United States and the State of Connecticut, for users within the U.S.
• • The laws of the State of Connecticut, without regard to conflict-of-laws principles, for users outside the U.S., except where mandatory consumer-protection law in your country of residence provides otherwise

All disputes arising from or relating to these Terms will be subject to the exclusive jurisdiction of competent courts in Connecticut, U.S., unless otherwise required by mandatory local law. By using this Service, you consent to the jurisdiction and venue of these courts. International Users: Users outside the United States acknowledge that use of this Service involves transmission of data to the United States and agree to comply with all applicable export control and data protection laws. Nothing in these Terms deprives a consumer of the protection afforded by mandatory provisions of the law of their country of residence, or of the right to bring proceedings before the courts of that country where such a right is guaranteed by law.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable in a given jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent.

15. Modifications to Terms

We may revise these Terms at any time by updating this page. Material changes will be indicated by updating the effective date at the top of this document. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

16. Entire Agreement

These Terms constitute the entire agreement between you and GT Souvenir LLC dba ProDesigner concerning the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
